1. SCOPE OF APPLICATION
1.1. By merely requesting a quotation or placing any order with S.R.L. LIGNE, the Customer automatically accepts that such quotation or order shall be governed by these General Terms and Conditions. Acceptance of these General Terms and Conditions constitutes a determining condition of S.R.L. LIGNE’s consent to the transaction. The Customer waives the right to invoke any terms or conditions originating from the Customer or established by third parties, even where such terms or conditions have been communicated to S.R.L. LIGNE or are deemed to be known by it.
1.2. These General Terms and Conditions may only be waived, in whole or in part, by means of a written agreement. Any such waiver shall be interpreted strictly and shall apply only to the specific provision and order for which it has been granted.
1.3. Catalogues, brochures, price lists, diagrams, plans, drawings and photographs provided to the Customer by S.R.L. LIGNE outside duly issued quotations or order confirmations shall have no contractual value and shall therefore not be binding upon S.R.L. LIGNE, which may amend them without prior notice.
1.4. S.R.L. LIGNE is a company incorporated under Belgian law, with its registered office at Galerie du Roi 14, 1000 Brussels, Belgium, registered with the Belgian Crossroads Bank for Enterprises under number 0401.824.775 and registered for VAT purposes under number BE 0401.824.775. It may be contacted by email at info@ligne.be; by telephone at +33(0)2 511.88.80 / +32(2) 511.60.30; or by fax at +32(2) 514.21.11.
2. QUOTATIONS
2.1. Where a quotation is subject to a limited period of validity or specific conditions, this shall be clearly and expressly stated in the quotation provided by S.R.L. LIGNE to the Customer on a durable medium (letter, email, fax, etc.).
2.2. The quotation shall contain a complete and accurate description of the products and/or services offered, enabling the Customer to fully assess the scope of the quotation and understand the rights and obligations arising from its acceptance for each party. Where S.R.L. LIGNE includes illustrations of the products offered for sale in its quotation, it shall ensure that such illustrations provide a faithful representation of those products. Obvious errors or mistakes contained in the quotation shall in no way engage the liability of S.R.L. LIGNE.
2.3. Any quotation issued by S.R.L. LIGNE shall always be accompanied by its General Terms and Conditions of Sale, which include, in particular, information relating to the formation of the sales contract, whether or not a right of withdrawal applies, payment terms, delivery or performance arrangements, etc.
2.4. The prices stated in the quotation cover only the provision of the services described therein, including delivery costs where expressly included in the quotation, and exclude all other services or charges.
2.5. The price quotation sent to the Customer is based on the information provided by the Customer.
3. ORDERS
3.1. Any order placed by the Customer in-store shall be irrevocably binding upon the Customer, who may no longer cancel the order once placed.
3.2. Orders recorded by any agents, employees or representatives of S.R.L. LIGNE, as well as any information provided or commitments made by them, shall only be binding upon S.R.L. LIGNE once the latter has ratified the order in writing. Likewise, orders placed remotely with S.R.L. LIGNE shall only become binding upon the parties once S.R.L. LIGNE has validated such orders on a durable medium (letter, email, fax, etc.) and has consequently confirmed to the Customer that the contract has been concluded.
3.3. Any amendment to an order may only be made with the written agreement of S.R.L. LIGNE and may result in an increase in the prices initially quoted.
3.4. Where the quotation and acceptance of the quotation take place remotely, i.e. without the simultaneous physical presence of a representative of S.R.L. LIGNE and the Customer, the regulations governing distance sales shall apply, in accordance with Articles XIV.26 et seq. of the Belgian Code of Economic Law.
4. CUSTOMER'S PRE-CONTRACTUAL OBLIGATIONS
4.1. The Customer undertakes to provide S.R.L. LIGNE with all information necessary for the preparation of quotations or confirmation of orders, as well as any information required to ensure the proper subsequent execution of such orders.
4.2. Any error in the selection or identification of products, materials or equipment covered by an order placed with S.R.L. LIGNE, as well as any misunderstanding arising during the execution of an order and resulting directly or indirectly from the Customer’s failure to comply with the obligations set out in Article 4.1 above, shall under no circumstances be attributable to S.R.L. LIGNE.
5. PRICES
5.1. The prices stated in price lists, catalogues or other pre-printed documents issued by S.R.L. LIGNE or its suppliers are indicative only.
5.2. The prices applicable to orders placed in the presence of a representative of S.R.L. LIGNE shall be those in force on the date on which the orders are executed. The Customer shall therefore bear, without being entitled to cancel the order or claim any form of direct or indirect compensation, any revision of the prices stated in the quotation preceding the order or its confirmation, in particular as a result of increases in procurement costs, labour costs, transport costs, customs duties or other charges incurred by S.R.L. LIGNE.
5.3. Prices are ex-store. Any applicable shipping, packaging and return costs shall be borne by the Customer, unless expressly agreed otherwise. The quotation provided by S.R.L. LIGNE to the Customer shall specify whether such costs are included and, where applicable, their amount.
5.4. Payment terms are set out in the quotation and in the document issued by S.R.L. LIGNE on a durable medium (letter, email, fax, etc.) for the purpose of validating the order and confirming the contract concluded.
6. DELIVERY TIMES AND PERFORMANCE RISKS
6.1. The delivery and performance times stated by S.R.L. LIGNE in its quotations and/or order confirmations are provided in good faith. As compliance with such timeframes is dependent, in particular, on factors beyond its control, they are not binding. Consequently, any delay in performance by S.R.L. LIGNE shall not entitle the Customer to terminate the order or claim any compensation, unless the Customer proves a serious breach on the part of S.R.L. LIGNE.
6.2. Events beyond the control of S.R.L. LIGNE, and in particular acts of public authority or force majeure, as well as events such as strikes, wars, civil unrest, lockouts, adverse weather conditions, requisitions, shortages of materials or means of transport, fires, machinery breakdowns, etc., shall automatically extend the performance period by a period equal to the duration of the event.
6.3. In the event of a lasting or definitive impossibility to execute the order due to any of the circumstances referred to in the preceding paragraph, the Customer shall only be entitled to reimbursement of the portion of the price already paid to S.R.L. LIGNE at the time the event occurred, insofar as such amount exceeds the value of the supplies already provided at that time.
6.4. Where a Customer acting as a consumer places an order remotely with S.R.L. LIGNE and wishes S.R.L. LIGNE to immediately take the necessary steps to perform the contract without waiting for the expiry of the 14-day withdrawal period, the Customer must expressly request this from S.R.L. LIGNE. In the absence of such an express request, S.R.L. LIGNE shall be entitled to suspend performance of the order until the expiry of the withdrawal period.
7. TRANSPORT – DELIVERY – RISK – ACCEPTANCE
7.1. Unless expressly agreed otherwise, products, materials and other equipment covered by an order shall be transported at the Customer’s cost, risk and responsibility, including where delivery is carriage paid. Risk shall therefore pass to the Customer as soon as the products, materials or equipment leave the warehouses of S.R.L. LIGNE or those of its suppliers.
7.2. Products, goods, materials and other equipment ordered by the Customer from S.R.L. LIGNE may, at the Customer’s request, be delivered to the address provided by the Customer when placing the order. In such case, the goods shall be delivered only to ground-floor level. Any handling or transportation of the goods, materials or other equipment from the ground floor of the building shall only be carried out upon the Customer’s formal instructions, under the Customer’s sole responsibility and at the Customer’s expense.
7.3. Acceptance of the products, materials and equipment with regard to their quality, quantity and conformity shall be the responsibility of the Customer and shall be deemed to have taken place when the goods are collected from the premises of S.R.L. LIGNE or, where delivery is carried out by S.R.L. LIGNE, upon delivery to the Customer, without prejudice, in the latter case, to the provisions of Article 7.1 above concerning the transfer of risk.
7.4. Any reservation or complaint by the Customer shall, in order to be admissible, be notified to S.R.L. LIGNE by registered letter within a strict period of eight (8) clear days from the date on which the products, materials or equipment concerned are delivered by S.R.L. LIGNE. In order to be accepted, any dispute raised by the Customer must be duly substantiated and must precisely state the grounds for the complaint.
7.5. Such reservations or complaints shall not suspend the Customer’s obligation to pay any amounts due to S.R.L. LIGNE.
8. RIGHT OF WITHDRAWAL IN THE EVENT OF A DISTANCE SALE
8.1. Any order placed remotely by the Customer, whether via the S.R.L. LIGNE website, by email or by telephone, shall become binding upon the Customer once validated by S.R.L. LIGNE. S.R.L. LIGNE shall validate and register the remote order by sending the Customer an acknowledgement of receipt on a durable medium (letter, email, fax, etc.), including, in particular, a list of the goods ordered, details of the costs to be borne by the Customer, the method of calculating the price and the total price of the order, including all taxes and, where applicable, any additional transport, delivery and postage costs and any other applicable charges or, where such additional costs cannot reasonably be calculated in advance, an indication that such costs will be payable.
8.2. In accordance with Articles VI.47 to VI.53 of the Belgian Code of Economic Law, a Customer acting as a consumer who, in the course of their private life, places an order with S.R.L. LIGNE without having visited its store shall have the right to withdraw from the contract and consequently cancel the order placed.
8.3. A consumer Customer entitled to exercise this right of withdrawal may do so within a period of 14 calendar days, in accordance with the procedures set out in Article VI.47 of the Belgian Code of Economic Law.
Once this period has expired, the Customer shall be irrevocably bound to S.R.L. LIGNE and shall no longer be entitled to cancel the order or claim any form of direct or indirect compensation. Any amount paid to S.R.L. LIGNE as a deposit shall remain with S.R.L. LIGNE as compensation, and the Customer shall not be entitled to reimbursement thereof.
8.4. In order to exercise the right of withdrawal, the Customer must notify S.R.L. LIGNE of their decision to withdraw by sending, before expiry of the aforementioned 14-day period:
- either the withdrawal form provided by S.R.L. LIGNE when the quotation was issued and available for download at the following address:
- or any other unambiguous statement expressing the Customer’s decision to withdraw from the contract.
8.5. The Customer shall be responsible for proving that the right of withdrawal has been validly exercised.
8.6. Where the Customer exercises this right of withdrawal, the Customer shall bear all resulting costs, provided that such costs do not exceed the cost of returning the ordered products. The Customer shall also be required to return the delivered goods in their original packaging and in perfect condition, failing which the Customer may be required to compensate S.R.L. LIGNE for any damage to such goods.
8.7. The following Customers shall not have a right of withdrawal:
- Customers who placed an order in the presence of one of S.R.L. LIGNE’s representatives;
- Customers acting for commercial, industrial or professional purposes;
- Customers who have expressly requested S.R.L. LIGNE to execute their order before expiry of the withdrawal period;
- Customers who have ordered a product manufactured according to specific requirements or specifications.
9. SCOPE AND LIMITATIONS OF WARRANTY
The warranty provided by S.R.L. LIGNE is strictly limited to the replacement of products, materials or equipment acknowledged to be defective, to the exclusion of any damages or compensation, including in respect of indirect, commercial, financial, moral, aesthetic or other losses.
10. PAYMENTS
10.1. Where payment of a deposit is required, the deposit shall be payable by the Customer in cash upon placement of the order. S.R.L. LIGNE shall only be bound by the order upon receipt of the deposit, without prejudice to the information to be provided by the Customer pursuant to Article 4 above. Unless otherwise provided in the quotation or order confirmation issued by S.R.L. LIGNE, the balance of the price shall be payable in cash upon delivery of the relevant products, materials or equipment.
10.2. Unless expressly agreed otherwise, invoices issued by S.R.L. LIGNE shall be payable upon receipt.
10.3. In the event of non-payment of any amount by its due date, a fixed surcharge equal to fifteen percent (15%) of the outstanding principal amount of the invoice shall automatically become payable by the Customer, without prior notice of default. In addition, the outstanding principal amount shall automatically accrue default interest from its due date at the contractual rate of 8% per annum, without any notice of default being required.
10.4. Any failure by the Customer to make payment shall entitle S.R.L. LIGNE to suspend all outstanding orders placed by the Customer until full payment of all amounts due, including principal, fixed surcharges and default interest.
11. TRANSFER OF OWNERSHIP
By express agreement, all goods, materials or equipment sold by S.R.L. LIGNE to the Customer shall remain the property of S.R.L. LIGNE until the price of the order has been paid in full, together with any applicable default interest and fixed surcharges.
12. JURISDICTION – GOVERNING LAW
12.1. Any dispute between S.R.L. LIGNE and the Customer shall fall under the exclusive jurisdiction of the courts of the registered office of S.R.L. LIGNE, namely the courts of the judicial district of Brussels, irrespective of the place where the order was concluded or performed.
12.2. Belgian law shall be the sole applicable law to quotations issued and orders recorded by S.R.L. LIGNE and shall, in particular, govern these General Terms and Conditions.
